San Antonio, TX and New York, NY – February 25, 2019 – Clear Channel Outdoor Holdings, Inc. (NYSE:CCO), a subsidiary of iHeartMedia, Inc. (PINK: IHRTQ), announced today that Brian Coleman will become Chief Financial Officer of Clear Channel Outdoor Holdings, Inc. (CCOH) when the company becomes a standalone public company upon iHeartMedia’s emergence from its previously announced restructuring process.

 

Coleman, an experienced financial and operating executive who currently serves as Senior Vice President and Treasurer of iHeartMedia, Inc., oversees the treasury, cash management and risk management functions for both iHeartMedia and CCOH and is directly responsible for management of the companies’ capital structure, liability management and liquidity.  In this new role, Coleman’s new responsibilities as CFO of CCOH will include assisting in the development of global financial strategy for each of the company’s operating divisions; leading all global financial functions, including liquidity management and tax strategies; supporting the capital allocation process; leading all M&A activities; and managing the company’s investor relations strategy, including equity and debt capital market communications.  He will report to William Eccleshare, who will serve as CEO of CCOH upon the companies’ separation.

 

The company also announced today that Lynn Feldman, currently serving as Executive Vice President and General Counsel of CCOH’s Clear Channel Outdoor Americas (CCOA) division, will become Executive Vice President, General Counsel and Corporate Secretary of CCOH when it becomes a standalone company.  Feldman will advise CCOH’s new Board of directors and senior leadership team on all major transactions, litigation, financial strategies and other critical initiatives; be responsible for the development and execution of the legal strategy and operations that support the company’s business plans; and lead the company’s compliance program.  Feldman, who in this new role will report to William Eccleshare, will also continue in her role as General Counsel for CCOA.  Adam Tow will continue as General Counsel of the International division, reporting into William Eccleshare.

Clear Channel Outdoor Holdings, Inc. Announces Proposed Private Offering of Senior Subordinated Notes

San Antonio, TX, February 4, 2019 – Clear Channel Outdoor Holdings, Inc. (NYSE: CCO) (the “Company”) announced today that its indirect, wholly-owned subsidiary, Clear Channel Worldwide Holdings, Inc. (“Clear Channel Worldwide”), will offer, subject to market and customary conditions, $2,200,000,000 aggregate principal amount of Senior Subordinated Notes due 2024 (the “Notes”) in a private offering that is exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”).

The Company, its wholly-owned subsidiary Clear Channel Outdoor, Inc., and certain of the Company’s other domestic subsidiaries will guarantee the Notes. The Notes will be unsecured senior subordinated obligations that will rank junior to all of Clear Channel Worldwide’s existing and future senior debt, equally with any of Clear Channel Worldwide’s existing and future senior subordinated debt and ahead of all of Clear Channel Worldwide’s existing and future debt that expressly provides that it is subordinated to the Notes. The guarantees of the Notes will rank junior to all of the guarantors’ existing and future senior debt, equally with any of the guarantors’ existing and future senior subordinated debt and ahead of all of the guarantors’ existing and future debt that expressly provides that it is subordinated to the guarantee of the Notes.

Clear Channel Worldwide intends to use the proceeds from the Notes to redeem all of its outstanding 7.625% Series A and Series B Senior Subordinated Notes due 2020 and satisfy and discharge the indenture governing such notes. New Board Will Bring Broad, Global Expertise to Position the New Company for Future Growth

New York, NY and San Antonio, TX – February 4, 2019 –Clear Channel Outdoor Holdings, Inc. (NYSE:CCO), a subsidiary of iHeartMedia, Inc. (PINK: IHRTQ), announced today the members selected to serve on its new Board of Directors when it becomes a standalone company upon iHeartMedia’s emergence from its previously announced restructuring process.

In conjunction with, and subject to, confirmation of iHeartMedia’s Plan of Reorganization, Clear Channel Outdoor Holdings’ (CCOH) post-emergence Board will consist of the following Directors, all of whom possess highly relevant knowledge and experience critical to positioning the company for future success:

Ben Moreland (Chair) – W. Benjamin (Ben) Moreland will serve as the lead independent director on the Board of Directors.  He is a private investor and retired CEO of Crown Castle, where he remains a member of the Board of Directors.  Crown Castle (NYSE: CCI), a leading provider of wireless infrastructure in the US, owns and operates over 40,000 towers and Small Cell facilities, supported by over 60,000 route miles of fiber in key US markets. An S&P 500 Company headquartered in Houston, Texas, Crown Castle has over 4,000 employees in the US. Prior to his retirement, Mr. Moreland served as Executive Vice Chairman from June 2016 through December 2017 and was President and Chief Executive Officer from July 2008 through May 2016.  From 2000 through 2008, Mr. Moreland was Chief Financial Officer.  Mr. Moreland joined Crown Castle in 1999, after 15 years with Chase Manhattan Bank and predecessor banks, primarily in corporate finance and real estate investment banking.

Mr. Moreland is a former board member and Chairman of the Board of WIA-The Wireless Infrastructure Association and former member of the Executive Board of the National Association of Real Estate Investment Trusts (NAREIT).  He also served on the Board of Directors of Calpine Corporation (NYSE: CPN) from 2009 until its privatization in March 2018, and Monogram Residential Trust (NYSE: MORE) from 2016 until its privatization in September 2017.  Mr. Moreland is also a former member of the executive board of the Greater Houston Partnership.

Mr. Moreland currently serves on the Board of Houston Methodist Hospital, where he chairs the subsidiary, Methodist Health Centers Board.  He is also a member of the Board of the Hope and Healing Center, a comprehensive mental health resource non-profit serving the Houston Community and beyond.  He is a member of the University of Texas McCombs School of Business Advisory Council and Chancellor’s Council Executive Committee.  He holds a BBA from The University of Texas at Austin and an MBA from The University of Houston.

William Eccleshare – Mr. Eccleshare is the current CEO and Board Chairman of Clear Channel International – the international division of Clear Channel Outdoor. Effective upon iHeartMedia’s emergence from its restructuring, Mr. Eccleshare will become Chief Executive Officer of the new standalone CCOH.  Mr. Eccleshare was formerly Chairman and CEO of BBDO Europe, Middle East and Africa (Omnicom), European Chairman of Young and Rubicam and Chairman and CEO of Ammirati Puris Lintas for Northern Europe. He also spent three years as a Partner at McKinsey & Co, leading the firm’s European Branding Practice. Mr. Eccleshare has an MA in History from Trinity College, University of Cambridge. 

John Dionne  Mr. Dionne is a Senior Advisor to the Blackstone Group and a Senior Lecturer in the Finance Unit at the Harvard Business School. He is also a director of Caesars Entertainment, Cengage Learning Holdings II, Inc., Momentive Performance Materials, Inc. and Pelmorex Media, Inc. Until he retired from his position as a Senior Managing Director of Blackstone in 2013, Mr. Dionne was most recently Global Head of its Private Equity Business Development and Investor Relations Groups and served as a member of Blackstone’s Private Equity and Valuation Committees. Mr. Dionne originally joined Blackstone in 2004 as the Founder and Chief Investment Officer of the Blackstone Distressed Securities Fund. Mr. Dionne began his career with Price Waterhouse and holds an M.B.A. from the Harvard Business School and a BS degree in Accounting, Economics, and Finance from The University of Scranton.   

Lisa Hammitt – Ms. Hammitt is a senior software executive with 25 years of industry experience. As Vice President of Cloud Marketplace and SaaS at IBM, she helps customers leverage Cognitive Computing in the Cloud. Prior to IBM, Ms. Hammitt was a VP of Marketing of Salesforce Community Cloud, where she spearheaded strategy that drove community adoption and reach. Before Salesforce, she headed mergers and acquisitions in Information Management and Cloud Computing at IBM and HP. Ms. Hammitt received a BA in economics and French from UC Berkeley and completed graduate course work in Artificial Intelligence at Stanford University.

Andrew Hobson – Mr. Hobson serves as Partner and Chief Financial Officer at Innovatus Capital Partners, LLC. Prior to joining Innovatus, Mr. Hobson was a senior Financial Executive at Univision for over twenty years. He served as Senior Executive Vice President at Univision Communications Inc. since 2004 and Chief Financial Officer since 2005. Mr. Hobson holds a B.S.E. in both Finance and Accounting, magna cum laude, from University of Pennsylvania – The Wharton School. 

Tom King – Mr. King has more than 30 years of experience in the investment banking and financial services industry.  Most recently, Mr. King served as Chief Executive Officer of Investment Banking at Barclays and Chairman of the Investment Banking Executive Committee. Mr. King was also a member of the Barclays Group Executive Committee which oversees all of the Barclays plc businesses. Mr. King is an Operating Partner at Atlas Merchant Capital. He holds a BA in Economics from Bowdoin College and an MBA in finance from University of Pennsylvania - The Wharton School.

Joe Marchese – Joe Marchese is President of Advertising Revenue for Fox Networks Group, a role in which he oversees advertising sales, research and innovation for FOX Broadcast, FOX Sports, FS1, FX, FXX and National Geographic. This includes tentpole advertising events like the World Series and Super Bowl. Mr. Marchese was previously co-founder and CEO of true[X], the leader in ad engagement technology, which was acquired by 21st Century Fox in 2015. Prior to co-founding true[X], Joe has spent time as a media executive, management consultant and multiple time entrepreneur.  Mr. Marchese is also the Executive Chairman of Human Ventures, a leading New York based start-up studio and venture fund. He is a member of the Board of Trustees of the Paley Center for Media. He also serves on Board of Directors for the non-profits Tribeca Film Institute and Team Rubicon. In 2016, Mr. Marchese was inducted into the American Advertising Federation’s Advertising Hall of Achievement. MT Rainey – British-born Ms. Rainey is a highly respected advertising industry leader in both the UK and the U.S.  As SVP Planning Director of Chiat/Day in the U.S. she pioneered the discipline of Account Planning across the U.S. offices, then returned to found Chiat/Day UK as CEO in London. She subsequently founded the highly successful agency Rainey Kelly Campbell Roalfe which was eventually acquired by Y&R, then became Joint CEO of the merged agency, leading it to a top 5 position within 4 years as part of WPP. She was Chairman of and investor in Th_nk Ltd, a digital transformation agency recently sold to EPAM U.S. She also recently completed a six-year term as Non-Executive Director of Channel 4 Television, the latter two years as Deputy Chair. She has previously served as a Board Director on a number of publicly listed UK companies and is currently on the Board of Hays plc.

Jinhy Yoon – Ms. Yoon is an executive vice president and credit analyst at PIMCO covering technology, media and telecom companies. Prior to joining PIMCO in 2010, she was an equity research analyst at J.P. Morgan Securities in San Francisco, focusing on the semiconductor capital equipment sector. Previously, Ms. Yoon covered integrated oil companies and independent refiners as an equity analyst at Bear Stearns and was a corporate attorney with Simpson Thacher & Bartlett in New York. iHeartMedia, Inc. and Clear Channel Outdoor Holdings, Inc. (CCOH) Announce Agreement On Material Terms To Fully Separate CCOH as Independent, Standalone Company Upon Completion of iHeartMedia’s Restructuring

William Eccleshare to Become Chief Executive Officer of the New Standalone CCOH

San Antonio, TX, [December 21, 2018] – iHeartMedia, Inc. (PINK: IHRTQ) (“iHeartMedia”) and Clear Channel Outdoor Holdings, Inc. (NYSE: CCO) (“CCOH”) announced that they have reached an agreement on the material terms to fully separate CCOH’s business from iHeartMedia, which currently owns 89.1% of CCOH’s outstanding common stock.

The separation is expected to occur in conjunction with, and is subject to, iHeartMedia’s emergence from its ongoing restructuring process.  The material terms of the separation are outlined in CCOH’s Form 8-K, which was filed with the Securities and Exchange Commission on Monday, December 17, 2018.

Effective upon iHeartMedia’s emergence, William Eccleshare will become Chief Executive Officer of CCOH. Mr. Eccleshare, who currently serves as Chairman and CEO of Clear Channel International (CCI), has deep experience in creating value for advertisers across the out-of-home industry. He joined CCI in 2009 and went on to lead Clear Channel Outdoor, including full operational responsibility for CCI and Clear Channel Outdoor Americas (CCOA), before assuming his current role, in which he is responsible for overseeing CCI’s business operations in 22 countries across Asia, Europe and Latin America. Mr. Eccleshare will be based in London and will also continue to lead CCI as part of his new role.

Scott Wells will continue to lead CCOA as CEO, driving innovation and a customer-centric focus at the business. He will report to Mr. Eccleshare.

Until the company exits the restructuring process, Bob Pittman and Rich Bressler will continue their current leadership roles for CCOH, with Mr. Pittman as CEO and Mr. Bressler as President and Chief Financial Officer.

Mr. Eccleshare will also be a member of the new Board of Directors of CCOH, which will be announced prior to the separation.

iHeartMedia Stakes Claim to Historic New York Skyline on Iconic East River Billboard

Leading National Multi-Platform Media and Entertainment Company Writes Advertising History Atop NYC’s Largest Rooftop Billboard

NEW YORK - July 19, 2016 - iHeartMedia Inc., the media and entertainment company with the largest reach of any radio or TV outlet in America, staked its claim to the New York skyline with its new presence on one of the city’s most iconic billboards, high atop the old Ruppert Ice House, overlooking the Triboro/RFK Bridge leading into Manhattan and out of The Bronx. The billboard displays the company’s nationally-recognized iHeartRadio logo and is one of only eight brands to grace this historic billboard over the last 80 years. iHeartMedia joins Pepsi and Domino Sugar as one of only three historic billboards along the East River.

The new iHeartMedia billboard is over 8,000 square feet (the size of 12 traditional roadside billboards) and is visible for miles from various vantage points around the city. In addition to the iHeartRadio logo, the billboard will display a digital LED screen that promotes iHeartMedia’s iconic New York City-based station brands -- Z100, Power 105, KTU, Lite FM, Q104.3 and WOR -- and upcoming events such as the iHeartRadio Jingle Ball Tour and the iHeartRadio Music Awards, among other nationally-recognized iHeartMedia brands and events. The billboard will reach millions of people weekly and is scheduled for completion in the coming days.

Clear Channel Outdoor Americas has invested $2 million in the billboard’s renovation over the last year and worked with officials to secure its grandfathered status in 2015. This billboard, and the building it stands proudly atop, carries with it a rich history dating back to the 1920s.

The building was constructed for Jacob Ruppert, who owned the Yankees, built Yankee Stadium and brought Babe Ruth to the team. The Ruppert family owned and operated Rupert Beer and Knickerbocker Beer and originally used the building to store ice and keep beer cold prior to the refrigeration era. Ruppert Beer was the first brand to adorn this now iconic sign, maintaining its presence there from 1936 to 1952.

Each brand that followed in Ruppert’s footprint for the next 80 years held claim to the billboard for nearly a decade or more. These include: Knickerbocker Beer (1952-1962), City Services Gasoline (aka Citgo, 1962- early 70s), Kent Cigarettes (early 70s – late 70s), Golden Lights Cigarettes (early 80s – late 80s), Newport Cigarettes (early 90s – 1999), HISTORY Channel (2000-2015) and now iHeartMedia (2016 - ).

(OTCBB:IHRT), today announced the closing of two transactions involving the sale by its Clear Channel Outdoor Americas segment (CCOA) of non-strategic outdoor markets for $458.5 million, in the aggregate, to Lamar Advertising Company (Nasdaq: LAMR).
 
The first transaction is the sale of Reno, NV; Seattle/Tacoma, WA; and Des Moines, IA. On a trailing 12-month basis ended September 30, 2015, these markets generated $40.9 million in net revenues and $18.9 million in OIBDAN1. The second transaction includes Cleveland, OH and Memphis, TN, which generated $35.6 million in net revenues and $17.8 million in OIBDAN1 on a trailing 12-month basis ended September 30, 2015. The aggregate purchase price of $458.5 million represents a blended multiple of 12.5x of the five markets’ OIBDAN1 on a trailing 12-month basis ended September 30, 2015. With these transactions, Clear Channel Outdoor Americas (CCOA) now has operations in 44 of the top 50 U.S. markets.
 
“Lamar made a very attractive offer that makes sense for CCOA, given our focus on core markets where we have a strong presence and scale,” said Scott Wells, CEO of CCOA.  “These transactions give us more focused operations and free up resources to continue to drive innovation in the out-of-home space, and are a win for both companies.”
 
The Company is considering the optimal uses of the proceeds of the sales.

(NYSE: CCO) today announced Andy Stevens has joined the company as Senior Vice President of Research, Insights and Analytics, reporting to Rocky Sisson, Executive Vice President and Chief Revenue Officer, Clear Channel Outdoor Americas (CCOA). In his new role, Stevens will develop critical performance analytics and research related to the out of home (OOH) media market and work with the sales leadership and marketing teams to develop strategies to support CCOA’s vision and drive incremental growth.

Stevens joins CCOA from ShareThis, where he was the vice president of strategy and research and worked with Fortune 500 companies to convert social data and insights into consumer activation and marketing strategies. Prior to ShareThis, Stevens was the director of strategy at AOL in New York where he led a team to drive account growth in the East Coast region through customized advertising solutions. He was also a management consultant at Capgemini Consulting in London and Paris, where he set up a new consulting division using e-channel expertise to advise clients on strategic direction and developments in the online marketplace.
Stevens also held positions at Advertising.com, including head of campaign delivery for the Western European region. He holds an MA and BA from Oxford University.

Restored, Polaris, Indiana Attorney General Greg Zoeller, Law Enforcement and Members of the Outdoor Ad Industry Lead Effort to Raise Awareness, Help Victims and Stop Human Trafficking

INDIANAPOLIS, IN – March 11, 2015 – Restored, Polaris, Clear Channel Outdoor Holdings, Inc. (NYSE: CCO), and members of the Outdoor Advertising Association of Indiana, together with Indiana Attorney General Greg Zoeller local, state and federal law enforcement, including; Indianapolis Metro Police Department, Indiana State Police, FBI and Homeland Security Investigations today unveiled a campaign to combat human trafficking with outdoor media throughout the State of Indiana. Beginning today and running through April 6, educational messages about human trafficking will be displayed on 35 digital billboards across Indiana.
“Human trafficking is a multi-billion dollar criminal industry that affects women, children, and men in every state throughout the year. The cases reported to the National Human Trafficking Resource Center (NHTRC) from Indiana are just the tip of the iceberg, so these billboards are critical to ensuring victims and survivors know there is help when they need it,” said Bradley Myles, CEO of Polaris. “The commitment of organizations like Restored, the State of Indiana, and Indiana's digital billboard industry is indispensable as we work together to eradicate modern slavery.”
Human trafficking is a thriving criminal industry, with traffickers making billions in profits by using force, fraud, or coercion to rob victims of their freedom. The International Labor Organization estimates that there are 20.9 million victims of human trafficking worldwide, with victims forced to provide commercial sex, labor, or services against their will. And it’s a problem in Indiana and throughout the U.S. 365 days a year.
“Indiana aims to be a leader in human trafficking awareness and prevention,” Indiana Attorney General Greg Zoeller said. “The average age at which children are first recruited into commercial sex is 13. These horrific crimes target our most vulnerable citizens, and we can no longer turn a blind eye. Our goal is to provide resources and a safety net to victims to stop this cycle of abuse as well as reduce the demand for commercial sex that fuels human trafficking.”
The campaign will inform trafficking victims who may be unaware that resources exist to help them, as well as urge residents who can help identify and report suspicious activity. Members of the Outdoor Advertising Association of Indiana (OAAI), including; Burkhart Advertising Company, Clear Channel Outdoor, JR Promotions, Lamar Advertising Company, Outfront Media and View Outdoor LLC are donating the digital billboard time and space. The ads feature the NHTRC’s 24-hour, multi-lingual and confidential hotline for victims and community members.
“Human trafficking is found in our own communities regardless of socio-economic status. In Indiana, we find foster care children and runways are extremely vulnerable to the commercial sex industry. Within the IPATH Task Force, Restored collaborates with local, state and federal law enforcement agencies to recover and provide a safe haven and a path for healing. Polaris and Clear Channel Outdoor (CCO) have forged a national partnership to combat human trafficking with campaigns in cities across America. CCO launched its first anti-human trafficking campaign alongside Polaris in Philadelphia in 2012 and has since supported campaigns with Polaris and/or local partners in Baltimore, Las Vegas, Los Angeles, Miami, Milwaukee, New Jersey, New York, Phoenix, San Francisco, Seattle, and across the entire state of Texas. This is CCO’s 16th anti-human trafficking campaign and the data show that these campaigns drive calls to the hotline, including tips and requests by victims for help. The program was expanded beyond the Indianapolis area through partnerships and the cooperation of other out-of-home advertising operators across Indiana.

Wells will report to Bob Pittman, Chairman and CEO of both Clear Channel Outdoor Holdings, Inc. and iHeartMedia, Inc., and Rich Bressler, Chief Financial Officer of Clear Channel Outdoor Holdings, Inc. and President, Chief Operating Officer and Chief Financial Officer of iHeartMedia, Inc.
Wells joins Clear Channel Outdoor Americas from Bain Capital, where he served as an Operating Partner. Since August 2014,Wells has been a member of Clear Channel Outdoor Americas’ Office of the President, responsible for setting company direction and ensuring its performance. In addition, Wells has been heading CCOA’s North American Executive Committee, which guides the company’s vision and strategy. Wells also served on the Clear Channel Outdoor Holdings, Inc. Ford International Airport (GRR) giving businesses and brands operating in Michigan and beyond, including local tourist attractions, a new channel for advertising.
 
ClearVision remains the only airport television network that links brand campaigns to a variety of content from major TV networks, including; ABC, FOX, NBC, E!, PGA Tour and many more. ClearVision delivers a lineup of top network shows from over 200 content providers, transformed into short-form “mini-sodes” covering entertainment, news, weather and sports and enabling airports to offer a customized TV station featuring local businesses and airport promotions.
